SUMMARY:  On January 27, 2011, the Board approved contracting with Avery Associates to conduct a recruitment process for the General Manager position.  Out of 58 candidates, five semi-finalists were recommended by Bill Avery, and presented to the Board on June 10, 2011.  The Board chose to interview 4 finalists on June 16, 2011. A proposed contract (Exhibit 7-A) has been negotiated between the final candidate and Mr. Avery, upon the advice of General Counsel.  This draft contract would engage the General Manager for a five-year term. However, it can be terminated at an earlier date for cause, or with notice and severance. The new General Manager would report for duty on September 1, 2011, if the draft contract is authorized. 

 

Under the terms of this agreement, the new General Manager’s salary would be $155,000 for the first year. This base salary could be increased by merit adjustment, in conjunction with annual Performance Evaluations, not to exceed a maximum of $175,000 before August 31, 2014.   The Agreement also sets other terms and conditions of Mr. Stoldt’s employment and benefits.

 

RECOMMENDATION:  Staff recommends, upon approval of this Consent Calendar item, that the Board Chair be authorized and directed to sign the attached contract of employment for the position of General Manager, and that David Jon Stoldt be appointed as General Manager and Secretary to the Board of Directors, effective September 1, 2011.

 

IMPACT ON STAFF/RESOURCES:  The proposed salary and benefits are included in the FY 2012 budget. 

 

BACKGROUND:  The Agreement For Employment of General Manager (Exhibit 7-A) calls for the Board of Directors to appoint David Stoldt to the position of General Manager to perform functions and duties set forth in Exhibit A of the Agreement and such other duties and functions reasonable and customary to the General Manager position as the Board of Directors shall from time to time assign.  Mr. Stoldt will be an at-will employee and shall serve at the pleasure of the Board of Directors, but the Board agrees to, with some exceptions, provide Mr. Stoldt with 30-day notice and severance of four months base salary if his services are to be terminated.
